Terms of engagement

These terms apply when you commission a review, briefing, or working session from Utilitystudiopath. They are written for professional services, not for software licences.

Acceptance

By paying a deposit or by asking us in writing to start a week, you accept these terms. If a statement of work names a catalogue, store, or start date, that statement sits alongside this page. Where they conflict, the statement of work wins on scope and dates; this page wins on liability, law, and intellectual property.

The work

Utilitystudiopath provides written briefings and working sessions on in-app purchase catalogues, store listings, paywalls, refunds, and renewals. We do not supply software, store accounts, advertising, or app development. Findings are professional opinion based on the exports and screenshots you provide. They are not a guarantee of revenue, approval by Apple or Google, or a tax position.

Your materials

You warrant that you have the right to share the reports, product-ID lists, and paywall text you send. You must not send account passwords. Viewer access, if used, remains under your control and must be revoked when the engagement closes.

Intellectual property

You keep the rights in your app, listings, and reports. We keep the rights in our templates, checklists, and the way we structure a briefing. Upon full payment you receive a licence to use that engagement’s written briefing inside your organisation, including with your engineers and counsel. You may not resell the briefing or publish it as if it were your own research.

We may describe the type of work in general terms (for example, ‘a subscription renewal briefing for a Malaysian education app’) unless you ask us in writing not to. We will not name your product IDs in public notes.

Fees and timing

Fees are in Malaysian ringgit as quoted. A deposit holds the start week. The balance is due when the written briefing is delivered. Late payment may pause the working session. SST is added when it applies.

Liability

We are not liable for lost purchases, store rejection, refunds you issue, or decisions you take after reading a briefing. Our aggregate liability for an engagement is limited to the fees you paid for that engagement, except where Malaysian law does not allow that limit (including death or personal injury caused by negligence, or fraud).

Confidentiality

We treat your catalogues and reports as confidential and delete them on the timetable described in the privacy notice, unless you ask us to retain them for a follow-up.

Governing law

These terms are governed by the laws of Malaysia. The courts of Kuala Lumpur have exclusive jurisdiction over disputes arising from an engagement, except that we may seek injunctive relief elsewhere to protect confidential material.

Changes

We may update this page for future engagements. The version in force is the one linked from the invoice for that engagement.
